Edwards shuffles board of directors

The Edwards Group advised that effective September 1, Rick Medlock, Bob McGuire and Dominique Fournier will be new non-executive directors of the company. Greg Brenneman will step down from the board, effective the same day.

Rick Medlock, CFO at Inmarsat, will act as a non-executive director and chair the audit and risk committee, with the latter appointment beginning October 1. John Lewis the current chairman of the committee will step down in October, but remain on the board, ensuring that all members of the committee meet the requirements of the Securities and Exchange Commission and NASDAQ Stock Market.

Before working with Inmarsat, Medlock was CFO of NDS Group. He is a non-executive director of Cheapflights Media and is chairman of their audit committee. He holds an MA in economics from Cambridge University and is a Fellow of the Institute of Chartered Accountants of England and Wales.

Bob McGuire, managing director of CCMP Capital Advisors, and Dominique Fournier, Executive Advisor to CCMP Capital Advisors, join the board as non-independent, non-executive directors representing CCMP Capital, one of Edwards’ major shareholders.

McGuire, who will also be appointed as chairman of the remuneration committee, is a member of CCMP’s Investment Committee. Before working for CCMP, he was vice chairman of JPMorgan Cazenove, serving between 2005 and 2008 as its co-head of corporate finance and then head of corporates. Between 2002 and 2005, McGuire was head of UK Investment Banking for JPMorgan and prior to that, was head of the company’s European energy team. He originally joined JPMorgan after working with Goldman, Sachs. He is on the board for Volotea and earned his BA from Boston College and his MBA from Harvard Business School.

In addition to her role at CCMP, Fournier has been a director of Kraton Performance Polymers since February. He holds over three decades of experience in the chemical industry, recently working as CEO at Infineum International. He spent 28 years at ExxonMobil in several senior leadership positions, including AIB VP of ExxonMobil Chemical. He earned his mechanical engineering degree from I'Ecole des Mines de Saint-Etienne, France.

Nick Rose, chairman of Edwards, commented on the appointments, stating, "I am very pleased that Rick, Bob and Dominique have agreed to join our Board at this exciting time for Edwards. I have no doubt that their valuable experience will result in a strong contribution to the Board's discussions. Rick's experience gained as Chief Financial Officer in both US and UK listed companies will also bring the necessary skills required to chair our Audit and Risk Committee. I would also like to thank Greg for his significant contribution to Board discussions over the last three years and for playing a key role in guiding Edwards through to IPO in May this year."
