JA Solar announces new, returning and retiring executive board members

JA Solar Holdings, manufacturer of high-performance solar products, has announced the election of Hope Ni, Mr. Jiqing Huang and Jian Xie to the company’s board of directors as well as the re-election of Baofang Jin, Samuel Yang, Bingyan Ren and Honghua Xu, and the retirement of Mr. Nai-Yu Pai from the board.

Jin will become the new CEO and chairman of JA Solar, while Ni will take over as the new chairman and Yang the vice chairman of the board. The new directors were elected by the shareholders at the company’s annual meeting held on Aug. 3, 2009 in Shanghai.

Ni has served as chairman of the board for China Fundamental Acquisition since March 2008 while also serving on the boards of KongZhong Corp., and ATA. Before this time, Ni was chief financial officer and director of Comtech Group, a Nasdaq Select Global Market-listed company that she joined in August 2004. She received her J.D. degree from University of Pennsylvania Law School and her B.S. degree in Applied Economics and Business Management from Cornell University.

Huang has experience in the research and manufacturing of monocrystalline silicon and related products and currently serves as a committee member at the Academic Committee of Semiconductive Materials of the Nonferrous Metals Society of China. From 2001 to 2007, Huang served as chief representative of the Beijing representative office of Space Energy Corp. Huang graduated from Nanjing Institute of Technology (now Southeast University) in 1962.

Xie has served in as the company’s director of corporate finance since joining in 2006, he has also served as director of investor relations, assistant to the chief executive officer and secretary of the board of directors. Prior to joining JA Solar, Xie worked in the investment banking department of Ping’an Securities Co., Ltd., and as an associate in the investment department at Dogain Holdings Group Co., Ltd. Xie received his master’s degree in finance from Guanghua School of Management at Peking University in 2004.

Baofang Jin, CEO and chairman of JA Solar, said, “I would like to welcome Ms. Ni, Mr. Huang, and Mr. Xie to the JA Solar board of directors, we are eager to benefit from their extensive experience in various professional areas and expect they will further strengthen our board and JA Solar’s corporate governance.”

“We also want to thank Mr. Nai-Yu Pai for his service to JA Solar and wish him well in his future endeavors,” he said.

Mr. Nai-Yu Pai retired from the board upon the expiration of his term of office and deciding not to stand for re-election.
